1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the websites, platforms, products, and services operated by PT United, LLC ("PT United," "we," "us," or "our"), including ptunited.com, supplystream.ptunited.com, and any related websites or mobile applications (collectively, the "Services").

By accessing or using our Services, placing an order, or registering for an account, you confirm that you have read, understood, and agree to these Terms. If you do not agree to these Terms, you may not use our Services.

If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

2. Our Services

PT United operates as a physical therapy equipment and medical supply distribution company serving clinic owners, healthcare professionals, hospitals, rehabilitation facilities, and patients. Our Services include:

• Online ordering and procurement of physical therapy and medical supplies
• The SupplyStream platform for clinic supply chain management
• New clinic installation services and equipment consulting
• Equipment service, repair, and maintenance programs
• Patient Home Program fulfillment services
• Clinic financing referral services
• Succession planning consultation

We reserve the right to modify, suspend, or discontinue any portion of our Services at any time without notice. We will not be liable to you or any third party for any such changes.

3. Accounts & Platform Access

Certain features of our Services, including SupplyStream, require you to create an account. When creating an account, you agree to:

• Provide accurate, complete, and current information
• Maintain and update your information as needed
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or are used for fraudulent or unauthorized purposes.

4. Orders & Purchasing

When you place an order through our Services, you are making an offer to purchase the specified products or services at the listed price. We reserve the right to accept or decline any order at our discretion.

An order is not confirmed until you receive written confirmation from PT United. We reserve the right to cancel orders in cases where:

• A product is out of stock or no longer available
• There is an error in the product description or pricing
• We are unable to verify your payment information
• We suspect fraudulent or unauthorized activity

For SupplyStream partners, orders placed through the platform are subject to the specific terms of your partnership agreement, which supplements these Terms.

5. Pricing & Payment

All prices listed on our Services are in U.S. dollars and are subject to change without notice. Prices do not include applicable taxes, shipping, or handling fees, which will be calculated and displayed at checkout.

PT United partner clinics may be eligible for co-op pricing, volume discounts, or other preferential pricing arrangements under the terms of their partnership agreement. Such pricing is confidential and may not be shared with third parties.

Payment is due at the time of order unless you have an approved credit account with net payment terms. We accept major credit cards, ACH bank transfers, and other payment methods as specified at checkout. All payments are processed securely through our payment processors.

6. Shipping & Delivery

We ship to all 50 U.S. states and select international locations. Shipping costs and estimated delivery times are provided at checkout and may vary based on your location, order size, and selected shipping method.

Risk of loss and title for products pass to you upon delivery to the carrier. PT United is not responsible for delays caused by carriers, weather, customs, or other factors beyond our control.

For large equipment orders or new clinic installations, delivery and setup arrangements will be coordinated separately with your account manager.

7. Returns & Exchanges

We want you to be completely satisfied with your purchase. Our return policy is as follows:

• Unopened products in original condition may be returned within 30 days of delivery for a full refund or exchange, less any applicable restocking fees
• Certain items, including special-order products, sterile supplies, and items marked as non-returnable, are not eligible for return
• Defective or damaged products must be reported within 7 days of receipt
• Equipment returns may require a return merchandise authorization (RMA) number

8. Intellectual Property

All content on our Services, including but not limited to text, graphics, logos, images, product descriptions, software, and the SupplyStream platform, is the property of PT United or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from our Services without our prior written permission, except as permitted by law.

The PT United name, logo, and SupplyStream are trademarks of PT United, LLC. Use of these marks without our express written consent is prohibited.

9. Prohibited Uses

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe on the rights of others, including intellectual property rights
• Transmit any harmful, offensive, or fraudulent content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools to scrape, crawl, or extract data from our Services
• Resell products purchased at partner pricing without authorization
• Impersonate PT United, our employees, or other users
• Engage in any activity that disrupts or interferes with our Services

Violation of these prohibitions may result in immediate termination of your account and access to our Services, and may subject you to legal liability.

10. Disclaimers

We do not warrant that our Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information on our Services.

Product descriptions, specifications, and images are provided for general informational purposes. Always verify product suitability with a qualified healthcare professional before clinical use.

11. Limitation of Liability

To the fullest extent permitted by applicable law, PT United, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of data, or loss of goodwill, arising out of or in connection with your use of our Services or products.

Our total liability to you for any claim arising from or related to these Terms or our Services shall not exceed the amount you paid to PT United in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless PT United and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall first be subject to good-faith negotiation between the parties. If not resolved within 30 days, disputes shall be submitted to binding arbitration in Hillsborough County, New Hampshire, under the rules of the American Arbitration Association.

Notwithstanding the above, PT United reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use of our intellectual property or Services.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you by email or through a prominent notice on our website.

Your continued use of our Services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our Services.
